These terms and conditions govern your use of the Web Construct SA website and the services we provide. By engaging our services or using our website, you agree to these terms.

Services

Web Construct SA provides website design and development, business operations automation, systems and API integrations, iOS and Android app development, search engine optimisation (SEO), Google Ads management, Shopify store audits, ongoing Monthly Support Plans (hosting, maintenance, and support), and related digital services. The specific scope, deliverables, and pricing for each project are agreed upon in writing before work commences, via a proposal or statement of work.

Quotes & Pricing

All quotes are provided in Australian Dollars (AUD) and are valid for 30 days unless otherwise stated. Quotes are based on the requirements provided at the time of quoting. Changes to project scope may result in adjusted pricing, which will be communicated and agreed upon before additional work is undertaken.

Payment Terms

  • A deposit may be required before work commences, as specified in the project proposal.
  • Final payment is due upon project completion and before handover of deliverables, unless otherwise agreed.
  • Ongoing services (SEO, Google Ads management, maintenance) are invoiced monthly in advance.
  • Payments can be made via credit card (Stripe) or direct bank transfer.
  • Overdue invoices may incur a late fee of 2% per month on the outstanding balance.

Client Responsibilities

To ensure timely project delivery, clients are responsible for:

  • Providing content, images, logos, and brand assets in a timely manner.
  • Providing timely feedback on drafts and deliverables.
  • Ensuring all content provided is accurate and does not infringe on third-party rights.
  • Maintaining current payment details and responding to invoices promptly.

Intellectual Property

Upon full payment, the client receives ownership of the final delivered website design and custom code. We retain the right to display the completed project in our portfolio. Third-party software, plugins, fonts, and stock images remain subject to their respective licences.

Revisions & Amendments

Each project includes a reasonable number of revisions as outlined in the project proposal. Additional revisions beyond the agreed scope may be charged at our standard hourly rate. Major changes to project direction or scope after development has commenced will be treated as a new request and quoted accordingly.

Hosting & Domains

Where we register domain names or set up hosting on behalf of a client, the client remains the legal owner of the domain name. We will assist with transfers upon request. Hosting fees, domain renewals, and SSL certificates are the client's ongoing responsibility unless included in a maintenance package.

Subscription Websites

Our Subscription Website plan provides a standard informational business website (up to 15 pages, including an image gallery and a standard contact form) that we design, build, host, and maintain for a monthly fee of $90 + GST, billed monthly in advance (incl GST) via Stripe. The following terms apply to this plan and prevail over any general terms to the extent of inconsistency:

  • Minimum term: the plan has a 24 month minimum term commencing on the date of first payment. After the minimum term it continues month-to-month and may be cancelled with 30 days' written notice.
  • Hosting: the website must be hosted on our hosting infrastructure for the duration of the subscription. This is a condition of the plan.
  • Domains: you retain legal ownership of your domain name at all times. Transferring your domain to our management is encouraged but optional. Domain renewal fees are included in the plan only while the domain is under our management; otherwise renewals remain your responsibility with your registrar.
  • Included changes: the plan includes up to 30 minutes of content changes per calendar month. Unused time does not accumulate. Work beyond this allowance, additional pages, redesigns, or new functionality will be quoted separately before any work is undertaken.
  • Ownership: we own the website during the minimum term. On completion of the 24 month minimum term (or earlier payout as below), full ownership of the website design and custom code transfers to you in accordance with the Intellectual Property clause.
  • Ending the plan early: you may end the plan before the minimum term expires by choosing either option: (a) pay the total of the remaining monthly fees for the minimum term, after which the website is transferred to you and may be hosted anywhere; or (b) cancel with 30 days' written notice and hand the website back, with no further fees payable beyond the notice period. Websites handed back are taken offline and ownership remains with us.
  • Missed payments: if a monthly payment fails and remains unpaid for 14 days after notice, we may suspend the website until payment is brought up to date.

Limitation of Liability

Web Construct SA will make every effort to deliver high-quality services. However, we are not liable for indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities. Our total liability is limited to the amount paid for the specific service in question.

SEO & Google Ads Disclaimer

While we employ industry best practices, we cannot guarantee specific search engine rankings, traffic volumes, or advertising results. Search engine algorithms and advertising platforms are controlled by third parties and are subject to change. We commit to transparent reporting and continuous optimisation to deliver the best possible outcomes.

Termination

Either party may terminate an ongoing service agreement with 30 days' written notice. Fees for work completed up to the termination date are payable in full. For project-based work, cancellation after development has commenced will incur charges for work completed to date.

Governing Law

These terms are governed by the laws of South Australia, Australia. Any disputes will be subject to the jurisdiction of the courts of South Australia.
